Terms of Use Agreement – Group Travel Supplier |

This agreement is between You, the group travel product supplier i.e. hotel operator, coach operator, attraction operator, restaurant operator, event organiser or guide (collectively “the supplier”) and Discover Travel & Tours International Ltd (Discover Travel & Tours), a company registered in England No 2775998, operating the website mygrouptour.com. This agreement sets forth the terms and conditions associated with the supplier's use of this Website (the "Terms of Use").

By using the Website, you acknowledge you have read this agreement, understand it, and agree to be bound by its terms and conditions. If you do not agree with any of the terms and conditions of this agreement, Discover Travel & Tours International Ltd is unwilling to allow you to use this website.

| TERMS OF USE
|
Subject to the terms and conditions of this Agreement, Discover Travel & Tours grants to the supplier a limited, non exclusive, license to use the website mygrouptour.com to enter or modify your product details, rates, offers or photos provided:-
1) You agree not to display any speculative, false, or fraudulent rates, promotions or pictures or images on mygrouptour.com and you further agree to indemnify Discover Travel & Tours against any claims or legal actions by either customers, authorities or any other interested party which challenge the validity or accuracy of any information displayed on mygrouptour.com relating to your property, product or service.
2) You will not use any device, software, or routine that interferes or attempts to interfere with the normal operation of the Website.
3) You will not perform any action that, in the opinion of Discover Travel & Tours imposes a burden or unreasonable load on the mygrouptour.com IT systems

| OBLIGATIONS OF Discover Travel & Tours International Ltd
|
Discover Travel & Tours agrees to display your property, product or service with rates, descriptions and images on mygrouptour.com.
Discover Travel & Tours trading as mygrouptour.com agrees to act as your agent to facilitate any reservations in your property product or service

|
| OBLIGATIONS OF Group Travel Suppliers
|
You agree to update rates, promotions and content in order to provide accurate, reliable information for groups making reservations on mygrouptour.com.
You agree to honour rates that you bid for individual groups, rules associated with those rates, and the availability offered by you.
You agree to actively maintain descriptions, images and promotion integrity on mygrouptour.com
You also agree to honour reservations confirmed for your property, attraction, event coaching, guiding or other services.
You agree not to disclose the net rates provided to mygrouptour.com customers.

| DISPLAY OF INFORMATION
|
|
Some of the information on the Website is provided by third parties and may not always be accurate due to the constantly changing nature of the data. Discover Travel & Tours is not responsible for the accuracy of the information provided by third parties on the mygrouptour.com site. |
| It is the responsibility of the Group Travel Supplier to ensure the accuracy of the descriptions and photos displayed on mygrouptour.com.

|
At all times, Discover Travel & Tours has the exclusive right to refuse to display inappropriate or inaccurate information. It will be at Discover Travel & Tours's discretion to determine what is inappropriate or inaccurate. Group Travel Suppliers that display inappropriate or inaccurate information will be considered in breach of this Agreement.

| RATES
|
Hotels should provide accurate guide line net wholesaler rates for group reservations which will are defined as your lowest net market rate which Discover Travel & Tours will mark up to create a group sales rate which will be advertised on mygrouptour.com as a typical guideline, but not guaranteed, rate which customers of the mygrouptour.com site can expect to be quoted for group business. Coach operators should provide their best available coach hire rates in response to specific enquiries which come through mygrouptour.com
Restaurant suppliers should provide agreed net wholesaler rates which will be marked up and advertised on mygrouptour.com
Attractions, event organisers and guiding services should provide their standard group rates for display on the mygrouptour.com site from which a reduced or commissioned net rate will be agreed.

| BIDDING
|
As a registered Group Travel Supplier, you are expected to submit a bid within 24 hours on all group travel requests generated via mygrouptour.com.
By bidding on a group booking you agree to be bound by the conditions of sale included in the group's description so long as those conditions of sale are not in violation of this Agreement or unlawful. Bids are not retractable after confirmation of acceptance by the client except in exceptional circumstances, such as when the Group Organiser materially changes the group's description after you bid.
Offering special promotions, discounts or directions to clients through the MGT messaging service in an effort to incentivise them to work outside mygrouptour.com is strictly prohibited an will result in the Group Travel Supplier being barred from participation in the mygrouptour.com site

| COPYRIGHT & LICENSES
|
|
The materials and content on mygrouptour.com is protected by copyright laws and international treaty provisions, as well as other intellectual property laws and treaties. All title and copyrights in and to mygrouptour.com (including, but not limited to, any images, photographs, animations, video, audio, music, text and illustrations) are owned by Discover Travel & Tours, its third party licensors or its suppliers (the “Intellectual Property”). You agree to abide by all additional copyright notices, information, or restrictions contained in any material or content on mygrouptour.com. You may download any Intellectual Property solely for your personal, non-commercial use, consistent with this Agreement. You may not copy, reproduce, republish, upload, post, transmit, distribute, and/or exploit any Intellectual Property in any way (including by e-mail or other electronic means) without Discover Travel & Tours’s prior written consent. Modification or use of any Intellectual Property for any other purpose is a violation of the copyrights, trademark rights, and other proprietary rights. The use of any Intellectual Property on any other site or networked computer environment, or maintaining unauthorized links to mygrouptour.com, is prohibited by this Agreement. All software, applications, and modules (collectively, "Software") used on the Website are proprietary to or licensed to Discover Travel & Tours by other parties. You may not rent, lease, sub-license, assign or permit others to use the Software. Except to the extent such a restriction is unenforceable under local law, you may not modify, amend, reverse engineer, decompile, translate, create a derivative work or dissemble the Software.

| IMAGES and PICTURES

Agreement to these Terms implies that any images or material supplied by you are your property and that you authorize Discover Travel & Tours and its Affiliates to reproduce them on mygrouptour.com and Affiliate Websites.

|
| PRIVACY and INFORMATION
|
|
The content you provide for use on or by mygrouptour.com, whether via email, forms, messages, ideas, and/or suggestions, is transmitted at your sole risk and you remain solely responsible for that information. Any customer service questions will be answered in accordance with mygrouptour.com Privacy Policy. Discover Travel & Tours will not sell or rent your personal information to third parties for their marketing purposes without your explicit consent and in any event will only use your information as described in the mygrouptour.com Privacy Policy.

| LIABILITY LIMIT

In no event shall Discover Travel & Tours, our subsidiaries, officers, directors, employees or our suppliers be liable for lost profits or any special, incidental or consequential damages arising out of or in connection with use of mygrouptour.com, our services or this agreement (however arising, including negligence).

|
| INDEMNITY
|
|
You agree to indemnify and hold us and (as applicable) our subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.

| LEGAL COMPLIANCE

You shall comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your use of our service and your bidding on group business.

|
| DISCLAIMER OF WARRANTIES
|
The services and materials provided by the website are provided "as is." to the fullest extent permissible pursuant to applicable law, Discover Travel & Tours, and its suppliers, disclaim all warranties, express or implied, including, but not limited to:
(1) implied warranties of merchantability, non-infringement, fitness for a particular purpose, and title to any of the services and materials provided on the website;
(2) any warranties that the functions contained in the services and materials will be uninterrupted or error-free, that defects will be corrected, or that the website or the server that makes it available are free of viruses or other harmful components;
(3) any warranties regarding the use, or results of the use, of the services and materials provided by the website in terms of their correctness, accuracy, reliability, timeliness, or otherwise. You alone assume any and all costs arising in connection with your use of the website.

| GENERAL
|
Discover Travel & Tours does not guarantee continuous, uninterrupted or secure access to our services, and operation of mygrouptour.com may be interfered with by numerous factors beyond our control. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
You agree that no joint venture, partnership or employment relationship exists between you and Discover Travel & Tours trading as mygrouptour.com as a result of this agreement or use of the mygrouptour.com website
This agreement shall be governed in all respects by the laws of England and is deemed to be written and agreed in Worcester England
